Terms and Conditions

The general terms governing use of the Cyntra Technologies website, client portal and the provision of our services.

1. About these terms

These Terms and Conditions ("Terms") govern your use of the Cyntra Technologies website, client portal and any services you purchase or request from Cyntra Technologies LLC, a limited liability company registered in the Commonwealth of Kentucky, United States ("Cyntra", "we", "us").

By using this website, submitting an enquiry, completing a Get Access submission, or entering into a service engagement with us, you confirm that you accept these Terms and that you have authority to accept them on behalf of the organisation you represent.

These Terms apply alongside our Service Agreement Policy, Payment Policy, Refund Policy, Privacy Policy and any signed statement of work. Where a signed statement of work conflicts with these Terms, the statement of work prevails for that engagement.

2. Business-to-business scope

Cyntra provides services to businesses, organisations and professional entities. Our services are not offered to consumers for personal, family or household purposes, and consumer protection provisions applicable to consumer transactions do not apply to our engagements.

By engaging us you confirm that you are acting for business purposes and that any individual submitting information on your behalf is authorised to do so.

3. Website use

You may use this website for legitimate business purposes including researching our services, submitting enquiries and managing an existing engagement through the client portal.

You must not attempt to gain unauthorised access to any part of the website, client portal or underlying infrastructure; interfere with its operation; use automated systems to extract content at a rate that burdens our infrastructure; or submit false, misleading or fraudulent information.

We may suspend or terminate access where we reasonably believe these restrictions have been breached.

4. Quotations, estimates and proposals

Prices published on this website are indicative starting prices for the scope described. They do not constitute a binding offer. Fixed-price packages are binding only for the specific deliverables listed and within the stated validity period.

Estimates and proposals are valid for the period stated on the document, and 30 days where no period is stated. An estimate is based on the information available at the time of issue; material changes to requirements may require revision.

A binding engagement arises only when a proposal is approved in writing, a statement of work is executed, or payment is made against a defined scope.

5. Client obligations

Delivery depends on your cooperation. You agree to provide accurate information, timely feedback and decisions, access to systems and personnel where required, and content or materials for which you hold the necessary rights.

Where delays are caused by outstanding client dependencies, timelines may be adjusted and any resulting additional cost may be chargeable. We will notify you before any such charge arises.

6. Intellectual property

Upon receipt of all amounts due for an engagement, intellectual property in the custom deliverables created specifically for you transfers to your organisation, including source code, designs and documentation, as set out in the Service Agreement Policy.

Cyntra retains ownership of pre-existing tools, libraries, frameworks, internal methodologies and any generally applicable know-how, and of licensed Cyntra software products which remain governed by the Software License Policy.

Third-party components remain subject to their own licences, which we will identify in delivery documentation.

7. Confidentiality

Each party will protect the other's confidential information as described in the Confidentiality Policy. This obligation survives termination of any engagement.

8. Warranties and disclaimers

We warrant that services will be performed with reasonable skill and care by appropriately qualified personnel, and that custom deliverables will materially conform to the agreed specification for 90 days following delivery.

Except as expressly stated, the website and its content are provided without warranty of any kind. We do not warrant that the website will be uninterrupted or error-free, that published pricing will remain unchanged, or that any particular commercial outcome will result from our services.

Outcome figures shown in case studies describe results achieved by specific clients in specific circumstances and are not a prediction or guarantee of results for any other engagement.

9. Limitation of liability

To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special or consequential loss, or for loss of profit, revenue, anticipated savings, goodwill or data, however arising.

Our total aggregate liability arising from or in connection with an engagement is limited to the total fees paid by you to Cyntra for that engagement in the twelve months preceding the event giving rise to the claim.

Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, wilful misconduct, or any liability that cannot lawfully be limited.

10. Suspension and termination

Either party may terminate an engagement for material breach that remains uncured 15 business days after written notice. We may suspend delivery where invoices remain unpaid beyond the terms set out in the Payment Policy.

On termination you remain liable for all work performed and costs committed up to the termination date. We will deliver work in progress and cooperate reasonably with transition on payment of outstanding amounts.

11. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Kentucky, United States, without regard to conflict of law principles. The state and federal courts located in Madison County, Kentucky have exclusive jurisdiction.

Before commencing proceedings, the parties will attempt in good faith to resolve any dispute through discussion between senior representatives for a period of 20 business days.

12. Changes to these terms

We may update these Terms from time to time. The version in effect at the time you enter an engagement governs that engagement. The current version and effective date are shown at the top of this page.
